Terms of Service

1. Parties & Engagement

These Terms govern the relationship between ZipSite Studio (“we”, “us”) and the client (“you”). By purchasing a package, submitting a questionnaire, or otherwise using our Services, you agree to these Terms.

2. Scope & Deliverables

We deliver production-ready static websites (HTML/CSS/JS) using our opinionated stack. Deliverables typically include pages requested in your Build Plan, a single stylesheet, minimal JavaScript, assets, SEO/meta, JSON-LD, robots/sitemap, and a README. Unless otherwise agreed, development excludes complex webapps, custom backends, or third-party license fees.

3. Revisions & Change Requests

We iterate via full file replacements (no partial diffs). Material changes to scope, pages, or features after approval may require a new quote.

Schedules are estimates and depend on your timely feedback. Delays in approvals or content may shift delivery dates.

6. Fees & Payments

Prices are listed on the Pricing page. Stripe processes payments. For “Custom Quote,” we may store your payment method and only charge the quoted amount after your explicit email approval.

7. Refunds & Cancellations

If the first build materially fails to meet the approved Build Plan, contact us within 7 days of delivery and we’ll attempt a remedy. If we cannot reasonably remedy, we may offer a partial refund at our discretion. Work already performed, external fees, and rush fees are non-refundable.

8. Intellectual Property

Upon full payment, you receive ownership of project-specific HTML/CSS/JS and exported assets delivered to you, excluding (a) our pre-existing tools, components, or libraries, (b) third-party assets under their own licenses, and (c) our generic processes and know-how. We retain a non-exclusive right to showcase the work.

9. Third-Party Services

We may integrate third-party services (e.g., Netlify, Vercel, Stripe, Tally, analytics). Those services are governed by their own terms and privacy policies. You are responsible for any associated fees.

See our Privacy Policy for how we collect and process data, including basic consent logging for checkout gating.

11. Warranties & Disclaimers

Services are provided “as is.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages. Our total liability arising from the Services will not exceed the amounts you paid for the applicable project.

13. Indemnification

You will indemnify and hold us harmless from claims arising out of content or materials you provide, or your use of the deliverables contrary to these Terms.

14. Referral Program

Referral program specifics are defined in the Referral Terms. For clarity: the standard reward is 20% of any package price purchased by a referred client (packages only; add-on subscriptions excluded). Payout timing and eligibility conditions are in the Referral Terms.

15. Term & Termination

Either party may terminate before delivery for material breach not cured within 10 days of written notice. Sections 8–13, 16–18 survive termination.

16. Governing Law & Venue

These Terms and any dispute, claim, or controversy arising out of or relating to them or to the Services are governed by the laws of the Commonwealth of Massachusetts, U.S.A., without regard to its conflict-of-law rules. The state and federal courts located in Boston, Suffolk County, Massachusetts have exclusive jurisdiction and venue for all actions not subject to informal resolution, and each party consents to personal jurisdiction in those courts and waives any objection to venue or forum non conveniens. Either party may bring a claim in small claims court in the county where the defendant resides or does business. The U.N. Convention on Contracts for the International Sale of Goods does not apply.

18. Entire Agreement & Updates

These Terms, together with the Build Plan, Pricing, Privacy Policy, and Referral Terms, are the entire agreement. We may update these Terms by posting a revised version with a new “Updated” date.
